Terms of Engagement

These Terms of Engagement govern all consulting services provided by Hawrat Cyber ("Hawrat Cyber", "we", "us") to clients ("Client", "you"). By engaging our services, you agree to these terms.

1. Services

Hawrat Cyber provides cybersecurity consulting services including, but not limited to, cloud security assessments, compliance advisory, vulnerability management, vCISO services, and security awareness training. The specific scope of services for each engagement is defined in a separate Statement of Work ("SOW") or engagement letter agreed in writing between the parties prior to commencement.

2. Engagement process

All engagements begin with a free discovery call. Following the discovery call, Hawrat Cyber will provide a written SOW outlining the scope, deliverables, timeline, and commercial terms. Work commences only upon written acceptance of the SOW and receipt of any agreed upfront payment.

3. Fees and payment

Fees are specified in the SOW for each engagement. Invoices are due within 14 days of issue unless otherwise agreed in writing. Late payments may attract a late payment fee of 1.5% per month on the outstanding balance. All prices are exclusive of applicable taxes unless stated otherwise.

4. Confidentiality

Hawrat Cyber treats all client information as strictly confidential. We will not disclose any client information, findings, or engagement details to third parties without prior written consent, except where required by law. Clients agree to treat all methodology, tools, and process documentation provided by Hawrat Cyber as confidential.

Where case studies are used for business development purposes, all identifying information will be anonymised and clients will be consulted before publication.

5. Intellectual property

All deliverables produced for a client under an engagement (reports, documentation, templates) are owned by the client upon full payment. Hawrat Cyber retains ownership of its methodology, tooling, templates, and frameworks, which are licensed (not transferred) to clients for their internal use.

6. Limitation of liability

Hawrat Cyber provides cybersecurity consulting services based on information available at the time of the engagement. Security is an ongoing process and not a one-time fix. Hawrat Cyber's findings and recommendations are provided in good faith but cannot guarantee that following our recommendations will prevent all security incidents.

To the maximum extent permitted by law, Hawrat Cyber's liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or punitive damages.

7. Data access and security

Where an engagement requires access to client systems, data, or environments, Hawrat Cyber will operate with the minimum access necessary and document all access requirements in the SOW. We will not make changes to client environments unless explicitly authorised in writing. Hawrat Cyber will comply with all applicable data protection laws, including the Tanzania PDPA, in handling client data.

8. Scope changes

Any changes to the agreed scope of work must be agreed in writing via a change order. Hawrat Cyber will provide a revised quote for any additional scope. Out-of-scope requests may delay delivery of agreed deliverables.

9. Cancellation

Either party may cancel an engagement with 7 days' written notice. In the event of cancellation by the client, Hawrat Cyber is entitled to payment for work completed to date. In the event of cancellation by Hawrat Cyber, a pro-rated refund of any upfront payment will be provided.

10. Governing law

These terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Tanzania.

11. Updates

Hawrat Cyber may update these Terms of Engagement from time to time. The terms applicable to an engagement are those in effect at the time the SOW is signed.
